A Board Member is Selling Her Unit – Should She Remain on the Board?

A Raleigh Square Board member has decided to move out of state and sell her unit; should she remain on the Board or not?

By rule, the Board member can remain on the Board until the sale is completed, at the end of closing. Then, according to the covenants, the remaining Board members can name whoever they want as a replacement.

Raleigh Square has no use for a Board member in the middle of moving to be involved in any decision making, short-term and long-term, affecting the community. The moving member has no vested interest in the community. Why participate in decisions that will not affect you?

It really is selfish remaining on the Board, particularly when the Board member will be so busy with the selling of her unit, packing, and otherwise preparing to move. Resigning is a selfless act that hopefully adds someone to the Board who will be affected by current operations, future planning, and direction of Raleigh Square.

Perhaps the covenants should be modified to include a clause such as “Any Director who lists their Unit for sale shall submit their resignation from the Board within ten (10) days of such listing. The vacancy shall be filled in accordance with these Bylaws.”
